1. Introduction
These Vendor Terms & Conditions (“Agreement”) govern your registration and participation as a vendor on Naija Drip, an online marketplace operated by MO Webcraft Enterprises.
By registering as a vendor, listing products, or accepting orders through Naija Drip, you agree to comply with this Agreement.
Naija Drip provides a platform that connects customers with independent fashion designers and clothing brands. Vendors remain responsible for the products they create, sell, and fulfil.
2. Vendor Eligibility
To sell on Naija Drip, you must:
- Be at least 18 years old.
- Operate lawfully within Nigeria.
- Provide accurate business and contact information.
- Provide a valid Nigerian bank account for settlements.
- Comply with all applicable Nigerian laws.
Naija Drip may request additional verification documents before approving or continuing your vendor account.
3. Vendor Account
You are responsible for maintaining the security of your account.
You must:
- Keep your login credentials confidential.
- Keep your business information accurate and up to date.
- Notify Naija Drip immediately if you suspect unauthorised access to your account.
You are responsible for all activities carried out using your vendor account.
4. Product Listings
Vendors are responsible for ensuring that every listing is accurate.
Each listing must include:
- Accurate product photographs.
- Correct sizing information.
- Honest descriptions.
- Current pricing.
- Accurate production and processing times.
Listings that are misleading, deceptive, or inaccurate may be removed without notice.
5. Prohibited Products
The following products may not be sold on Naija Drip:
- Counterfeit or replica goods.
- Stolen products.
- Products that infringe intellectual property rights.
- Illegal goods.
- Products outside the categories approved by Naija Drip.
Naija Drip may remove prohibited listings and suspend or terminate the responsible vendor account.
6. Orders & Fulfilment
After receiving an order, vendors agree to:
- Confirm the order promptly.
- Begin production within their stated processing time.
- Produce the item according to the customer’s confirmed order.
- Package products securely.
- Ship orders within the advertised timeframe.
- Provide tracking information where available.
- Notify Naija Drip immediately if an order cannot be fulfilled.
Failure to fulfil orders consistently may result in account restrictions or suspension.
7. Commission & Settlement
7.1 Platform Commission
Naija Drip charges a commission on completed sales. The applicable commission rate will be communicated to vendors and may be updated with reasonable notice.
7.2 Vendor Settlement
Vendor settlements are processed to the vendor’s registered Nigerian bank account after successful order fulfilment in accordance with Naija Drip’s settlement schedule.
Naija Drip may temporarily delay or adjust a settlement where an order is subject to:
- an active customer dispute;
- suspected fraud;
- a non-delivery investigation;
- a payment reversal or chargeback; or
- any reasonable compliance or operational review.
7.3 Settlement Adjustments
Where a refund or other amount is properly payable because of vendor error or a breach of this Agreement, Naija Drip may deduct the applicable amount from future settlements or otherwise recover the amount from the vendor.
7.4 Taxes
Vendors are solely responsible for all taxes arising from their business activities and sales.
8. Returns, Refunds & Customer Disputes
Vendors agree to comply with Naija Drip’s Return & Refund Policy.
Vendors must:
- Accurately represent every product.
- Produce items according to the confirmed order.
- Cooperate during return and dispute investigations.
- Resolve valid product quality issues promptly.
Where a refund is approved because of vendor error—including defective workmanship, incorrect items, inaccurate descriptions, or failure to fulfil an order—the vendor is responsible for the associated costs in accordance with this Agreement.
Naija Drip may review evidence from both the customer and the vendor before reaching a fair decision.
Repeated quality issues, fulfilment failures, or policy violations may result in suspension or permanent removal from the platform.
9. Vendor Conduct
Vendors must conduct business honestly and professionally.
You must not:
- Circumvent the Naija Drip platform.
- Divert customers away from the platform.
- Manipulate reviews.
- Engage in fraudulent or deceptive conduct.
- Harass customers or Naija Drip staff.
- Upload malicious software or interfere with platform operations.
10. Intellectual Property
Vendors retain ownership of their original product photographs, descriptions, and branding.
By listing products on Naija Drip, vendors grant Naija Drip a non-exclusive licence to display and promote those listings for the purpose of operating and marketing the platform.
Vendors are responsible for ensuring that their content does not infringe the rights of any third party.
11. Suspension & Termination
Naija Drip may suspend or terminate a vendor account where the vendor:
- breaches this Agreement;
- repeatedly fails to fulfil orders;
- receives excessive customer complaints;
- engages in fraud or dishonest conduct; or
- exposes Naija Drip to legal or reputational risk.
Following account closure, any outstanding settlements will be processed after applicable deductions for commissions, approved refunds, chargebacks, or other amounts owed under this Agreement.
12. Liability
Vendors are solely responsible for the products they create and sell.
Naija Drip operates as a marketplace platform and is not the manufacturer or producer of vendor products.
Vendors agree to indemnify MO Webcraft Enterprises against claims arising from their products, listings, intellectual property infringements, or breaches of this Agreement.
13. Data Protection
Vendors must handle customer information responsibly and only for the purpose of fulfilling orders placed through Naija Drip.
Naija Drip processes personal information in accordance with its Privacy Policy and applicable Nigerian data protection laws.
14. Changes to this Agreement
Naija Drip may update these Vendor Terms & Conditions from time to time.
Material changes will be communicated through email, the vendor dashboard, or other appropriate means.
Continued use of the platform after changes become effective constitutes acceptance of the updated Agreement.
15. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria.
Any disputes arising under this Agreement shall be subject to the jurisdiction of the Nigerian courts.
