1. INTRODUCTION & ACCEPTANCE
These Vendor Terms & Conditions (“Agreement”) govern your registration and participation as a vendor on Naija Drip, a multi-vendor fashion marketplace operated by MO Webcraft Enterprises, Lagos, Nigeria. By creating a vendor account or listing any product on the Naija Drip platform, you agree to be bound by this Agreement in its entirety.
If you do not agree with any part of these terms, you must not register as a vendor or continue to use the platform.
2. VENDOR ELIGIBILITY
To register and operate as a vendor on Naija Drip, you must:
- Be a registered business in Nigeria with a valid CAC (Corporate Affairs Commission) certificate, or an individual operating lawfully as a sole trader
- Be at least 18 years of age
- Provide accurate and complete business registration details, including business name, owner name, contact information, and bank account details for payouts
- Not have been previously suspended or permanently banned from the Naija Drip platform
Naija Drip reserves the right to verify your eligibility at any time and to reject or suspend any vendor account that fails to meet these requirements.
3. ACCOUNT REGISTRATION & SECURITY
You are responsible for maintaining the confidentiality of your account login credentials. You must not share your account with any third party or allow unauthorised access to your vendor dashboard.
You agree to notify Naija Drip immediately at support@naijadrip.com if you suspect any unauthorised access to or use of your account. Naija Drip will not be liable for any loss resulting from unauthorised access caused by your failure to protect your credentials.
4. PRODUCT LISTINGS & STANDARDS
4.1 Accuracy
All product listings must accurately represent the items being sold. You must ensure that:
- Product photos are clear, accurate, and reflect the actual item for sale
- Descriptions are honest and not misleading regarding size, material, colour, or quality
- Prices listed are the prices customers will pay (excluding any platform-displayed delivery charges)
- Stock availability is kept up to date at all times
4.2 Prohibited Items
You may not list or sell any of the following on Naija Drip:
- Counterfeit, replica, or unauthorised branded goods
- Stolen goods or items of unknown origin
- Items that infringe any third-party intellectual property rights
- Non-fashion items outside the scope of the Naija Drip marketplace
- Items prohibited under applicable Nigerian law
Naija Drip reserves the right to remove any listing that violates this section without prior notice and may suspend or permanently ban the responsible vendor account.
4.3 Listing Responsibility
You are solely responsible for the accuracy and legality of all content you upload to the platform. Naija Drip does not verify the accuracy of product listings but reserves the right to remove content that breaches these terms.
5. ORDERS & FULFILMENT
Upon receiving an order from a customer through Naija Drip, you are obligated to:
- Confirm and process the order within 24 hours of receipt
- Dispatch the order within your stated processing time as shown on your store listing
- Package items securely to prevent damage in transit
- Provide accurate tracking information where available
- Notify Naija Drip promptly if you are unable to fulfil an order for any reason
Failure to fulfil orders in a timely and accurate manner may result in penalties, suspension, or termination of your vendor account.
6. COMMISSION & PAYOUTS
6.1 Commission Rate
Naija Drip charges a commission of 10% on each completed sale made through the platform. This commission is deducted from the sale price before your payout is calculated.
6.2 Payout Schedule
Vendor payouts are processed to your registered Nigerian bank account following order completion and the expiry of any applicable customer return window. Naija Drip will communicate its standard payout schedule, which may be updated from time to time with reasonable notice.
6.3 Deductions
In addition to the 10% commission, Naija Drip may deduct from your payout any amounts owed in connection with:
- Approved customer refunds where the fault lies with the vendor (see Section 8)
- Any penalties imposed under this Agreement
- Any other amounts owed by you to Naija Drip
6.4 Taxes
You are solely responsible for declaring and paying all taxes applicable to your sales through the platform, including VAT where applicable under Nigerian tax law. Naija Drip does not withhold or remit taxes on your behalf unless required to do so by law.
7. PRICING & PROMOTIONS
You may set your own product prices. Prices must not be artificially inflated and must reflect genuine market value. You must not engage in price manipulation or deceptive pricing practices.
Naija Drip may from time to time offer platform-wide promotional campaigns. Participation by vendors may be voluntary unless otherwise stated in a separate promotional agreement.
8. RETURNS, REFUNDS & DISPUTES
Your obligations under Naija Drip’s Return & Refund Policy are incorporated into this Agreement. In summary:
- You must accept returns for items that are damaged, defective, or significantly different from the listing
- Where a return is approved and the fault is determined to be yours (wrong item sent, damaged goods, misrepresented listing), the cost of the refund will be charged against your account and deducted from your payout
- Customers have a 7-day return window from the date of delivery
- You must accurately represent all products to avoid return disputes
Where a dispute arises between you and a customer, Naija Drip will review evidence from both parties and issue a final decision within 5 business days. Naija Drip’s decision in vendor-customer disputes is final.
Vendors who repeatedly attract returns or disputes due to poor product quality, inaccurate listings, or failure to fulfil orders may be suspended or permanently removed from the platform.
9. VENDOR CONDUCT
You agree to conduct all activities on the Naija Drip platform professionally and in good faith. You must not:
- Communicate directly with customers outside the Naija Drip platform to redirect or circumvent sales
- Engage in any form of fraud, misrepresentation, or deceptive practice
- Harass, threaten, or abuse customers or Naija Drip staff
- Attempt to manipulate reviews, ratings, or any platform ranking system
- Upload or transmit malicious code or interfere with the platform’s operation
10. INTELLECTUAL PROPERTY
You retain ownership of original content you upload, including product photos and descriptions. By uploading content to Naija Drip, you grant Naija Drip a non-exclusive, royalty-free licence to use, display, and reproduce that content for the purposes of operating and promoting the platform.
You must not upload any content that infringes the intellectual property rights of any third party. You are solely liable for any intellectual property infringement arising from your listings.
11. SUSPENSION & TERMINATION
Naija Drip may suspend or terminate your vendor account at any time, with or without prior notice, in the event of:
- Breach of any provision of this Agreement
- Fraudulent activity or misrepresentation
- Repeated customer complaints or poor performance metrics
- Failure to fulfil orders or respond to customer disputes
- Any activity that may bring Naija Drip into disrepute or expose it to legal liability
Upon termination, any outstanding payouts owed to you (after deduction of applicable refunds, penalties, and commissions) will be settled within 30 days, unless withheld pending investigation of suspected fraud or policy breach.
You may close your vendor account at any time by contacting support@naijadrip.com. You remain responsible for fulfilling any outstanding orders at the time of closure.
12. LIABILITY & INDEMNITY
Naija Drip operates as a marketplace intermediary and is not the seller of record for items listed by vendors. You are solely responsible for the quality, legality, safety, and accuracy of your products and listings.
You agree to indemnify and hold harmless MO Webcraft Enterprises, its directors, employees, and agents from and against any claims, losses, damages, or expenses (including legal fees) arising from:
- Your breach of this Agreement
- Your product listings or the products you sell
- Any intellectual property infringement by you
- Any customer claim arising from a transaction with your store
Naija Drip’s total liability to you in connection with this Agreement shall not exceed the total commissions paid by you to Naija Drip in the three months preceding the event giving rise to the claim.
13. DATA PROTECTION
Naija Drip will process your personal and business data in accordance with its Privacy Policy and the Nigeria Data Protection Act (NDPA) 2023. By registering as a vendor, you consent to the collection and processing of your data as described in the Privacy Policy, available at naijadrip.com.
You must handle any customer personal data you access through the platform in accordance with applicable Nigerian data protection law. You may not use customer data for any purpose other than fulfilling orders placed through Naija Drip.
14. CHANGES TO THIS AGREEMENT
Naija Drip reserves the right to update these Vendor Terms & Conditions from time to time. Where changes are material, we will notify you by email to your registered address and/or by notice on your vendor dashboard. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated terms.
15. GOVERNING LAW
This Agreement is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the Nigerian courts.
